JOINT VENTURE

TERMS & CONDITIONS

  

The terms and conditions as set out below constitute the basis of the joint venture agreement reached between the client and AM CAD Solutions in accordance with the quotation provided. 

1.         WORKSTATION

AM CAD Solutions will deliver up to the client the workstation(s) at the commencement of the joint venture agreement. 

 the client is responsible for returning the workstation(s) to AM CAD Solutions at its own cost.  AM CAD Solutions are happy to organize the return of the workstation(s) at a cost to be agreed prior to collection.  The charges of such collection will be incorporated within the last invoice submitted to the client and the client agrees to meet such charges.

Please do not lose the packaging the workstation(s) is supplied with upon delivery as it will be required at the end of the joint venture agreement for returning the equipment.

the client is responsible for the costs of any repair or replacement for damage caused to the hardware outside of normal wear and tear.  In the event that the hardware is lost or stolen from the client’s premises, or otherwise unavailable to AM CAD Solutions, the client will pay such costs of replacement.

the client will make all requests for work by email.

 2.         RESTRICTIONS OF USE

the client is made aware of any and all restrictions of the use of any and all software which is loaded on to the workstation(s) prior to the delivery of the equipment.  By accepting delivery of the workstation(s) the client wholly accepts any and all restrictions and agrees to their use irrespective.

 the client may not alter the configuration of the system without the prior written authorization of AM CAD Solutions.  Software or hardware may only be upgraded by an AM CAD Solution's engineer either on-site or by returning the workstation(s) to AM CAD Solutions.  If the client reconfigures the system without authorization it will be responsible for the costs incurred of reconfiguring the system to its original specification.  All and any damage caused by such unauthorized reconfiguration will be charged to the client and the client is wholly responsible for such charges.

3.         CANCELLATION OR SUSPENSION OF WORK

In the event of any cancellation or suspension the client will remain responsible for payment of any losses incurred by AM CAD Solutions.  the client will remain liable for the costs of any works completed or the previously agreed rental period in accordance with the quotation and joint venture agreement unless the prior written consent of AM CAD Solutions is given.

4.         RECRUITMENT

the client will be wholly responsible for an engineer whom is supplied to them by AM CAD Solutions and separate Terms & Conditions for the Provision of a Contractor must be signed and returned by the client prior to any engineer attending on site..

 5.         IN-HOUSE PROJECT WORK

AM CAD Solutions are responsible for design, engineering authority is wholly the responsibility of the client.

6.         SECURITY

AM CAD Solutions gives an assurance that any and all confidential held by them will not be disclosed to any third party without the express permission of the client.

 7.         ENGINEERING AND TIMING CHANGES

Any changes to the specification, addition to the work or re-scheduling of deliverables which have an adverse effect on the costs incurred by AM CAD Solutions must be notified within 24 hours and the client will be liable for such adverse costs. 
If the workstation(s) are not returned on the due date or prior arrangements for collection have not been made with AM CAD Solutions the client will be invoiced at the full monthly rental price for the following period irrespective or whether the client has use.
In the event the client chooses to have on-site maintenance AM CAD Solutions undertake to respond to any and all maintenance calls within 8 working hours. 
In the event that downtime is lost no recompense can be made in lieu of rental charges.  In the event the client chooses to return the workstation(s) to AM CAD Solutions then the client will pay for the costs and such costs will be appropriately credited to the final amount invoiced.

 8.         PAYMENT

Upon delivery of the workstation(s) the client will pay AM CAD Solutions the first month’s rental together with the installation fee.  All further sums due and payable by the client will be invoiced on a monthly basis at the beginning of the month and the client agrees to remit the sums due within 30 days.

If for any reason the client is unable to make payment within 30 days they should inform AM CAD Solutions prior to the expiry of the 30 day period.  In the event the client fails to notify AM CAD Solutions then the workstation(s) may be decommissioned or removed from the client ’s premises and the client will be responsible for such collection charges. 

AM CAD Solutions will always Endeavour to assist the client with payment options but may not be able to do so in the event the client does not advise AM CAD Solutions prior to payment date.
 

In the event payment is not made within 30 days, without prior approval, AM CAD Solutions reserve the right to charge interest at 8% per annum from the due date until the date full payment is received.

AM CAD Solutions reserve the right to alter or amend these terms and conditions at any time provided the client is given 24 hours notice in writing.

By signing these terms and conditions below the client hereby undertakes to be bound by its conditions as set out on pages 1, 2 and 3.
