§ 1 Task Description

1.1 Named Consultant: ……………..................................................

1.2 Supplier shall, upon request of the Agent, provide Support Services

via the named consultant, to the satisfaction of the Client

§ 2 Project Start

2.1 The Contract shall commence on: ..................................

§ 3 Compensation

3.1 The Agent shall pay to the Supplier, as compensation for the

services to be rendered, the sum of €…… per hour , which

will be paid on a monthly basis as per the invoice submitted

by the Supplier.

3.2 Payments carried out each month as part payment are based on

the Clients monthly Activity Report.

3.3 The Supplier shall attach this monthly Activity Report to the invoice

to be sent directly to the Agent.

3.4 The agent will add on the agreed commission and lease payment

with the Client.

§ 4 Termination

4.1 The task shall be completed on .................................................

4.2 The parties shall decide on the commencement of a new

Individual Project Order before ............................................

4.3 At that moment the Individual Project Order terminates, any

notice periods will cease to exist.

4.4 Either party can terminate the agreement with two (2)weeks written

notice.

4.5 There will be an initial one week trial period within which

the contract can be terminated.

§ 5 Invoicing & Remuneration

5.1 Invoices shall be supported by the Consultants monthly activity

report, duly authorised by the Client.

5.2 The Consultants remuneration will be paid to the Supplier within

five (5) working days of the Agent receiving cleared funds from the

Client.

5.3 The Client will make payment into the Agents account

by the 15^th day of the following month.

5.4 The Consultant is solely responsible for the collection of all monies

due to the Agent by the Client.

§ 6 Additional Arrangements

6.1 Any notice or other communication pursuant to this Agreement shall

be in writing and shall be deemed to have been fully given or made

when personally delivered or three (3) days after being mailed by

registered post or recorded delivery, to the most recent addresses

as the parties may provide in writing to the other from time to time.

6.2 In the event of the Consultant wishing to work direct for the Client

within a six month period of this Agreement ending, it will be

necessary for the Client to agree a 'finders fee' with the Agent.
